Churchill Capital Corp. (CCC) Releases Shareholder Vote Info
by Kristi Marvin on 2019-05-13 at 5:50pm

This afternoon, Churchill Capital Corp. (CCC), released the details of their shareholder vote to approve their merger with Clarivate Analytics, and it’s pretty much what you would expect – a landslide. There were, however, 138,590 votes in the “no” column, but that only represents 0.2% of the total number of shares voted.  As a reminder, per Churchill’s proxy, if a shareholder does not vote or forgets to vote, that is counted as an abstention, so presumably, 138,590 specifically voted “no”.

As far as the number of redemptions (if any) or how much was left in trust post-vote, that information was not provided.  We’ll have to wait for further filings to check those results.

Nonetheless, this was an overwhelmingly positive vote.  Focusing on 138,590 “no” votes out of 68,291,728 total is like worrying about the postage for a really huge tax bill.  Just spring for certified mail.

Summary of results below and you can find the results for the other proposals HERE.

At the SPAC of Dawn Although the market has largely recovered from a negative stretch last week, the roller coaster is tilted back downward for Trump Media (NASDAQ:DJT), which slid -8% yesterday to $32.57 – one of its lowest points since closing with Digital World last month. Remember the metaverse? Many do not. Meta’s (NASDAQ:META) attempted transition to virtually living and working seemed to mark a trend that went up and down quickly, but one SPAC deal has both survived that roller coaster and may rise with a second. With the passage this weekend of $95 billion in funding for Ukraine, Israel and Taiwan by the House of Representatives, some focus has gone back towards the defense sector, which has generally had a good year as a whole. But, SPACs have not been as active in defense, despite the fact that companies in the...
